The business we are working on together concerns EBOT (EBay Services of Texas), its customers and the selling of their property or other ESOT property or services either through Ebay Inc. or other alternative avenues that are found to be more appropriate or profitable. This agreement specifies that the independent contractor listed above will receive ______ of the net profit of the sales in which he/she is personally and/or primarily involved and works on. Adjustments to this amount can be altered either higher or lower based on a per item/client negotiation when appropriate and based on mutual agreement. No out-of-pocket expenses are to be incurred by the independent contractor or become the responsibility of ESOT (Ebay Services of Texas) without prior mutual agreement. The independent contractor is fully responsible for any and all items, property or information in their possession either directly or indirectly belonging to ESOT or its customers, clients, leads or associates. Any property, asset or information belonging to ESOT, its customers, clients, leads or associates is to be returned immediately to ESOT upon verbal or written request. In addition, the independent contractor shall not solicit to or do business with any ESOT customer, prospective customer or associate directly, by-passing ESOT. Also, all information pertaining to ESOT internal business, its customers and associates is considered private, confidential and proprietary including account or financial information, passwords, credit and bank information and is not to be used or disclosed now or in the future under any circumstances except to perform authorized ESOT business. Any disputes involving legal action are to be resolved in Bexar County, San Antonio Texas or Travis County, Austin Texas. The independent contractor described above has read, understands and agrees to the polices and terms of this agreement.
